NailDeskby Bao Le LLC

Terms of Service

Effective November 5, 2026

These terms govern NailDesk, point-of-sale software provided by Bao Le LLC (“we”, “our”, “us”), and the text messages NailDesk sends to salon customers.

The texting section just below is for anyone who gets NailDesk's texts. The NailDesk Salon Agreement after it is the contract between Bao Le LLC and each salon that uses NailDesk.

Text messages — NailDesk appointment texts

Program: NailDesk appointment texts. NailDesk (Bao Le LLC) sends texts about your visits to salons that use NailDesk: confirmations, reminders, changes or cancellations, a message when your technician is ready, and a thank-you after your visit. Every text names NailDesk as the sender and the salon where your visit is. No marketing is sent from this program's number.

How you agree: texts are optional. You get them only if you agree — for example by checking in with your mobile number on the salon's iPad (a Check in without a number button is on the same screen, and checking in that way sends nothing), or by ticking Text me about my appointment on the salon's online booking page. Checking in or booking never depends on it, and agreeing is never a condition of any purchase or service.

Frequency and cost: message frequency varies, about three or four texts per visit. Message and data rates may apply.

To stop: reply STOP to any message. For help: reply HELP, or email bao@baolellc.com.

Carriers are not liable for delayed or undelivered messages. Offers from a salon are a separate program, sent only with your own separate yes and only from that salon's own number. See our Privacy Policy.

NailDesk Salon Agreement

Version 1.2 · Effective November 5, 2026 · Bao Le LLC

This agreement disclaims warranties, limits our liability and requires you to release and indemnify us (sections 12 to 15). It requires binding individual arbitration, with a class action waiver and a jury trial waiver (section 17).

1. The agreement, and how you accept it

1.1 Parties. This agreement is between Bao Le LLC, a Florida limited liability company ("NailDesk", "we", "us"), and the business that signs up for NailDesk ("the salon", "you"). "The owner" means the person on file with us as the salon's owner. You agree that you are signing up as a business, not as a consumer, and that you will use NailDesk only for that business.

1.2 Acceptance. On setup day, before NailDesk opens for business, the owner accepts this agreement by ticking "I agree to the NailDesk Salon Agreement" on NailDesk's setup screen. The box starts unticked, with a link to this agreement beside it. If you set up payment through our online payment page, you also tick its box agreeing to these terms. By using NailDesk, you also accept this agreement. Each person who ticks a box represents that they are at least 18 and have the authority to bind the salon.

1.3 Acceptance record. When you tick the setup screen's box, we record the version you accepted (with a fingerprint of its exact text), the words beside the box, the date and time, the salon, the person who ticked it, and the computer and internet address used. We keep this record while this agreement is in effect and for at least five years after it ends. You may request a copy.

1.4 Your order. Your order is the sign-up page, quote or invoice that states your plan, its price, its term, the texts it includes and any setup fee. Any additional terms in your order, such as a founding price, a walk-away period or a seasonal pause, apply as the order states. If your order conflicts with this agreement, the order governs price and what you bought, and this agreement governs everything else. Our Privacy Policy at baolellc.com/privacy describes how we handle personal information.

2. What NailDesk is

2.1 The service. NailDesk is software for running a nail salon. The main program runs on your salon's computer; some parts run in our cloud.

2.2 "Coming soon" and test features. Anything marked "Coming soon", "draft", "beta" or "preview" is not part of the paid service. We may change or discontinue it at any time, and it is provided without warranty of any kind.

3. Your licence

3.1 The licence. While you are current on payment and comply with this agreement, we grant you a limited, non-exclusive, non-transferable right to use NailDesk at one salon location, for your own business. Each location requires its own subscription.

3.2 One computer. NailDesk is installed on one computer at the location. Your other devices, such as the check-in iPad, a second desk or a phone, connect to it through a web browser on your salon's network. A second installation, or a copy of the installation, requires our written consent, and a copy may stop working. To move NailDesk to a new computer, you must contact us.

3.3 Restrictions. You may not, and may not allow anyone else to:

3.4 Ownership. NailDesk, including its software, designs, text and everything we create for it, belongs to us or our licensors. You receive only the rights this agreement grants. If you send us ideas or feedback, you grant us a non-exclusive, perpetual, irrevocable, royalty-free right to use them for any purpose.

3.5 Updates and features. We reserve the right to add, change or remove features, and to end support for older versions, at any time, with or without notice. We may update NailDesk at any time. Your computer downloads and installs our updates automatically, without asking first, and you agree to receive them. An update may add, change or remove features. Some updates are required. A version we no longer support may stop working with our cloud.

3.6 Settings we control. We control certain settings, such as texting limits, offline card sales and your booking page's address. They reach your computer from our cloud.

4. The daily check-in and the licence lock

4.1 The check-in. Once a day, your NailDesk computer checks in with our cloud. It receives a signed pass that renews your licence, and it sends us a report on the business day just ended, including totals and counts, NailDesk's settings and health, the computer's name, and your salon's and owners' names.

4.2 How days are counted. Days are counted from the last check-in that renewed your licence. Days count whenever your computer cannot check in for any reason, including an internet outage, or when we stop renewing your licence (5.11 and 16). A day counts only if your NailDesk computer is on that day.

4.3 What happens, and when. From day 3, if your computer has not checked in, NailDesk shows a notice at the desk. From day 7 without a renewal, the owner's tools, such as the menu, settings, payroll, reports and exports, lock; the functions the counter needs to run the day keep working. From day 14, NailDesk stops opening for business. Backups continue throughout. A check-in that renews your licence restores NailDesk at once (4.5).

4.4 Records during a lock. A lock does not delete your records. While this agreement is in effect, and for 30 days after it ends (16.4), you may request a copy of your records, and we will send it within 30 days of your request. This applies while the owner's tools are locked, after NailDesk stops opening, and whether or not you have paid.

4.5 Restoring access. Once we restart your licence or your internet connection returns, a check-in that renews your licence restores NailDesk at once. The owner can check in at any time from NailDesk's screen.

5. Fees, billing and cancelling

5.1 Prices. Your order states your plan and its price (by card, and the lower price by bank), and whether you are month to month or on a 12-month term, which has a lower monthly price.

5.2 Billing. Fees are billed in advance through our payment processor, Stripe, to the bank account or card you provide. You authorise us to collect each amount when it is due, and you agree to Stripe's terms for your payment method.

5.3 Cancel any time. You may cancel at any time, on any plan, by emailing bao@baolellc.com, or online where NailDesk's Billing page offers it. Cancellation takes effect at the end of the month you have already paid for. There is no notice period and no cancellation fee. We do not refund partial months.

5.4 12-month term. If you cancel before a 12-month term ends, you owe nothing for the remaining months. After 12 months, your subscription continues at the same price until you cancel, unless the price changes under 5.7.

5.5 Texts and credits. Each text segment uses one credit. Each month, your plan includes the number of texts about visits shown on your order. Included texts are used before purchased credits and do not carry over to the next month. Offers and campaigns are paid from purchased credits. Purchased credits do not expire, belong to the salon location, and are not refunded or exchanged for money, except under 16.2. If a payment for credits fails, the amount remains due.

5.6 Setup. A setup fee covers the setup work and is not refundable once setup day has taken place. A setup fee we waive remains waived.

5.7 Price changes. We may change prices no more than once in any 12 months, by emailing the owner at least 60 days before the change takes effect. A founding price on your order will not increase while you stay on the same plan without a break. If you do not accept a change, you must cancel before it takes effect.

5.8 Card processing. Card payments in NailDesk run only through card processing we set up or approve in writing. You must obtain our written consent before processing this salon's cards through any other processor. If you do not, we may, on 30 days' notice, change your monthly price to our price for NailDesk without our processing, even if you have a founding price, or end this agreement.

5.9 Taxes. Prices exclude taxes. You are responsible for any sales, use or similar taxes on what you buy from us. We are responsible for taxes on our income.

5.10 Late payment. Any amount not paid when due bears simple interest at 1.5% a month (18% a year), or the highest rate the law allows if that is lower, from the due date until paid. Interest does not compound. You must also pay our reasonable costs of collection, and any fee our payment processor charges us for a failed or reversed payment.

5.11 Suspension for non-payment. If an amount remains unpaid 5 days after we or our billing company email the owner that it is overdue, we may suspend texting, online booking and credit purchases, and stop renewing your licence, with the effects described in section 4. We will restart them once you have paid the overdue amount and a $50 restart fee, which covers the work involved.

6. Your responsibilities

6.1 Sign-ins and PINs. You are responsible for all activity under your sign-ins and PINs. You must keep them confidential, give each person their own PIN, and remove people who leave. We may rely on any instruction given with the owner's PIN or sign-in.

6.2 Your computer and network. You are responsible for providing and maintaining a Windows computer that meets our requirements, kept at the desk and connected by network cable; internet and power; your router, your Wi-Fi and the card machine's connection; and up-to-date Windows. You must put customers on a separate guest Wi-Fi where your router supports one; if customers share your staff network, you bear that risk. You must turn on the drive lock (Windows device encryption) where your computer supports it.

6.3 The Emergency Kit. The printed Emergency Kit opens your backup copies. You must keep it sealed in an envelope at the owner's home or in a safe, never at the desk. If it is lost, you must tell us promptly. We may then restore your records with our recovery key and issue you a new Kit.

6.4 PINs, codes and passwords. You must never give a NailDesk PIN, your Emergency Kit code, or a password for NailDesk or your NailDesk computer to anyone other than the person it belongs to, including anyone who says they are from NailDesk. You are responsible for any loss that results, and for any loss from letting anyone other than NailDesk connect to your computer.

6.5 Your business. You are responsible for:

NailDesk's pay figures and wage warnings are tools only. NailDesk does not pay anyone.

6.6 Photos, logos and names. You represent that you have the rights to every photo, logo and name you put into NailDesk, and you permit us to display them in NailDesk and on your booking page. We may remove any of them.

6.7 Backups and records. You must not stop or interfere with NailDesk's backups. You must keep any records the law requires you to keep.

6.8 Prompt notice. You must tell us immediately if you suspect unauthorised access to your NailDesk, if your computer is lost or stolen, or if you receive a complaint about a text.

7. Card payments

7.1 Your processor, your agreement. Card processing is between you and your card processor, under your own agreement with it. Datacap is the gateway NailDesk uses to reach your card machine and your processor. We are not a party to your processor agreement, we do not hold or move your money, and we are not responsible for approvals, declines, holds, chargebacks, funding or fees. If your processing was arranged through a company owned by our owner, that company may be paid by your processor under a separate agreement.

7.2 Card data. Card numbers do not enter NailDesk's records; the card machine sends them to Datacap and your processor. NailDesk stores only the card's type, its last four digits and the reference (token) that Datacap and your processor return. NailDesk also stores the keys that connect it to your card processor. These are kept in your records and their encrypted backups.

7.3 Card records. Your computer reads your card records from Datacap through our relay, using NailDesk's own Datacap reporting key. We keep your merchant ID in our cloud for this purpose. The records pass through the relay and are not stored.

7.4 Card security. You are responsible for your card-security (PCI) compliance with your processor, including its yearly form, and for your card machine and network. We acknowledge that we are responsible for the security of any card data we possess, store, process or transmit for you, and for our part wherever we could affect the security of your card systems, such as during remote support. On request, we will tell you in writing which card-security duties are ours and which are yours.

7.5 Offline cards and unclear results. Offline card sales are off unless we allow them for your salon and the owner turns them on. A card taken offline is sent when the internet connection returns and may be declined then; you bear that loss. NailDesk's offline limits do not eliminate this risk. When a card result is unclear, you decide whether to wait, try again or take another payment.

8. Texts

8.1 NailDesk's appointment texts. NailDesk (Bao Le LLC) is the registered sender of the texts described under "Text messages" above, and of the first text that confirms a customer's yes, all from NailDesk's own toll-free number. We write the consent wording and the content of these texts, and each text names your salon. You choose which texts are on and when reminders are sent. A customer receives them only after a yes is recorded in NailDesk.

8.2 Your promises about texts. You represent and agree that:

8.3 Offers are your program. Offers are available only once your salon has its own texting number. When you send offers or campaigns through NailDesk, your salon is the seller and the sender: you choose who receives them, what they say and when they are sent, and NailDesk sends them from your salon's own number on your instructions only. To obtain that number, you must give us accurate details for the carriers' registration, and you authorise us to register it in your salon's name. You represent and agree that:

8.4 We may suspend texting. We may suspend or stop texting for your salon, or to any number, immediately and without liability, if a customer, carrier, Telnyx or regulator complains; if a carrier or Telnyx flags, filters or limits our numbers; if we believe a text broke the law or this agreement; if the law or carrier rules change; or if you have not paid.

8.5 Stop requests. A STOP sent to NailDesk's number stops our texts about visits to that phone for every salon that uses NailDesk, including yours, until that person texts START. No one at the salon can override a customer's stop.

8.6 Delivery. We do not guarantee delivery of any text and are not responsible for any text that is delayed, filtered or lost.

9. Your data

9.1 Your records. The records you keep in NailDesk, including customers, visits, sales, staff and settings, belong to your salon.

9.2 Our use of your records. You permit us to hold, copy, use and share your records only to: provide, support, secure and improve NailDesk; keep and restore backups; send texts and hold online bookings; run billing and the licence; comply with the law, legal process and carrier rules; protect people, our rights and other salons; enforce this agreement; and make de-identified data (9.5).

9.3 Service providers. We use other companies to run NailDesk, such as our cloud host (in the United States), the texting carriers and our billing company. We may change them at any time.

9.4 Backups. Your computer sends an encrypted backup copy of your records to our cloud every hour while records change, and one every night. A copy opens only with your Emergency Kit or with our recovery key, which we do not keep in our cloud. We may open a copy to:

9.5 De-identified data. We may make data that cannot reasonably be linked to your salon or to any person, such as the average number of bookings a week across salons, and use and share it for any purpose, during and after this agreement.

9.6 Remote support. Remote support takes place when you request it or allow it from your screen. While connected, we can see everything your screen shows, including customer records, and, if you allow it, operate your computer.

9.7 Keys we keep. We keep your computer's drive-lock recovery key and its Windows administrator password in our password manager. We release them, or a code to reset an owner's PIN, only to a person we reasonably believe is the owner.

9.8 Your customers' requests. If one of your customers asks us about the records your salon keeps, we may refer the request to you and help you answer it. We act directly on stop requests, and on questions about texts we sent and online bookings we hold.

9.9 Legal requests. We may disclose your records when we believe the law requires it, such as in response to a subpoena or court order.

10. Security and breaches

10.1 Our measures. We take reasonable measures to protect the data we hold for you. We do not guarantee that it will never be breached.

10.2 Breach notice. If we discover a breach of security affecting data we hold for you, we will notify you as quickly as reasonably practicable, and no later than 10 days after we determine that it occurred or have reason to believe it occurred. We will give you all the information you need to make any notice the law requires of you. Notices to your customers are your responsibility, unless we agree otherwise in writing. Each of us bears its own costs, and our costs count toward our maximum liability under 14.2.

11. Help

11.1 How to reach us. You can reach us by calling the support number shown in NailDesk or by emailing bao@baolellc.com. Support availability, response times and resolution times are not guaranteed.

12. No warranties

12.1 NAILDESK (THE SOFTWARE, THE CLOUD SERVICES, THE TEXTS, SUPPORT AND ANY HARDWARE WE PROVIDE) IS PROVIDED "AS IS" AND "WITH ALL FAULTS". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM EVERY WARRANTY, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT NAILDESK WILL RUN WITHOUT INTERRUPTION OR ERROR, THAT ITS FIGURES WILL BE CORRECT, OR THAT NO DATA WILL EVER BE LOST. HARDWARE COMES ONLY WITH ITS MAKER'S WARRANTY, WHICH WE PASS ON TO YOU WHERE WE CAN.

12.2 Check the figures. NailDesk calculates using the numbers and rules you enter. You must check pay, commissions, tips, taxes, turn counts, prices, discounts, gift card balances and reports before relying on them. Pay, tax and wage decisions are yours. The turn order and NailDesk's suggestions are tools only; you decide who serves each customer.

12.3 Third-party services and availability. Parts of NailDesk depend on other companies' services, your internet and your power, none of which we control. We do not guarantee that any of them will work or be available, and we do not guarantee any level of availability for NailDesk. Texts, online booking, card approvals and backups require an internet connection.

13. Release

13.1 RELEASE. You release Bao Le LLC and its owner, employees and contractors from all claims arising from the following risks, including claims based on NailDesk's own negligence:

This release does not cover our own fraud or intentional misconduct. For everything else, section 14's limits apply.

14. Limits on our liability

14.1 Excluded losses. We are not liable for:

This applies however the loss arises, even if we were told it might happen.

14.2 Maximum liability. Our total liability for all claims combined, arising under or relating to this agreement or NailDesk, will not exceed the greater of $1,000 or the subscription fees you paid us in the 3 months before the event that gave rise to the first claim.

14.3 Scope of the limits. These limits apply to every kind of claim, whether in contract, warranty, negligence, statute or otherwise, even if a remedy in this agreement fails of its essential purpose. Nothing in this agreement limits or excludes liability for our own fraud or intentional misconduct, or any other liability the law does not allow to be limited. These limits do not reduce what you owe us, including fees and your obligations under section 15.

14.4 Basis of the bargain. These limits are an essential basis of the bargain between you and us, and our prices reflect them.

15. Claims you cover

15.1 Your indemnity. You agree to defend us, and to pay every loss, damage, fine, settlement and cost (including reasonable legal fees) that we or our owner, staff or contractors suffer from any claim, demand, investigation or fine by anyone (including your customers or staff, a mobile carrier or Telnyx, a card processor or network, or a government agency) that arises from:

This covers a claim even where our own negligence partly caused it, but not a claim caused by our negligence alone.

15.2 Procedure. We will notify you of a claim promptly; a delay relieves you of your obligations only to the extent it actually harms your defence. We may choose the lawyers who defend us, at your cost, and you must cooperate with them. You may not settle a claim without our written consent if the settlement admits fault on our part, requires us to do anything, or costs us anything.

15.3 No limit. Section 14's limits do not apply to your obligations under this section.

16. Ending the agreement

16.1 You may end this agreement at any time by cancelling (5.3).

16.2 We may end this agreement for any reason by emailing the owner at least 30 days in advance. If we do, we will refund any fees you prepaid for time after the end, and the price you paid for purchased text credits you have not used.

16.3 We may end it at once, or suspend any part of NailDesk, by emailing the owner, if:

If we end it because you have not paid, or because you breached this agreement or the law, no refund is due. If we end it for any other reason on this list, such as a complaint alone, we will refund as 16.2 provides.

16.4 At the end.

16.5 Survival. Sections 3.3–3.4, 5 (for amounts owed), 8.2–8.3, 9, 10, 12 to 15, 16.4, 17, 18 and 20 survive the end of this agreement, along with anything else that by its nature should survive.

17. Disputes

17.1 Informal resolution. Except for an urgent order under 17.4 or a claim for unpaid fees, before starting a case, the side with a complaint must email the other a short description of it, and both sides must try for 30 days to resolve it.

17.2 Arbitration. Any dispute between us arising from or relating to this agreement or NailDesk that is not resolved under 17.1 will be decided by binding arbitration, including any dispute about whether this section applies. The American Arbitration Association will administer the arbitration under its Commercial Arbitration Rules, before one arbitrator. The arbitration will take place in Orlando, Florida, and hearings may be held by video. The arbitrator will apply Florida law and this agreement, including its limits and 17.6. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.

17.3 Small claims. Either of us may instead bring an individual claim in small claims court in Orange County, Florida, if the claim qualifies there.

17.4 Urgent court orders. While a dispute is pending, either of us may ask a court named in 17.7 for an urgent order to stop misuse of NailDesk or of either side's intellectual property.

17.5 CLASS ACTION WAIVER. CLAIMS MAY BE BROUGHT ONLY BY A SALON OR BY NAILDESK ON ITS OWN BEHALF: NEVER AS A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION, AND NEVER COMBINED WITH OTHER SALONS' CLAIMS, IN ARBITRATION OR IN COURT. If a court decides this waiver cannot be enforced for a claim, that claim must be heard by a court named in 17.7, not in arbitration.

17.6 Legal fees. In any dispute arising from or relating to this agreement or NailDesk, the side that prevails is entitled to recover its reasonable legal fees and costs from the other side, including in arbitration and on appeal.

17.7 Governing law and venue. Florida law governs this agreement, without regard to its conflict-of-law rules. For any matter that goes to court, the exclusive venue is the state courts in Orange County, Florida, or the United States District Court for the Middle District of Florida, Orlando Division. Each of us submits to their jurisdiction.

17.8 JURY WAIVER. EACH OF US KNOWINGLY AND VOLUNTARILY GIVES UP ANY RIGHT TO A TRIAL BY JURY IN ANY CASE ABOUT THIS AGREEMENT OR NAILDESK.

18. Events beyond our control

Neither of us is liable for a delay or failure caused by events beyond its reasonable control, including hurricanes, storms, floods, fires and other natural disasters; power cuts, and internet, phone or network outages; failures, outages or changes at Supabase, Cloudflare, Telnyx, the mobile carriers (including their filtering or blocking of texts), Stripe, Datacap, card processors or card networks, Microsoft or Google; cyberattacks, viruses and other attacks by others; changes in laws, carrier rules or card-network rules, and government action; and epidemics, strikes, war, terrorism or civil unrest. This section does not excuse payment for service already provided. If such an event prevents NailDesk from working for you for more than 30 consecutive days, either of us may end this agreement by email.

19. Changes to this agreement

19.1 How. We may change this agreement by emailing the owner a notice that it is changing, with the date the change takes effect and a link to the new version, at least 30 days before that date. We also post the new version at baolellc.com/terms. If you do not agree to a change, you must cancel before it takes effect. If you continue to use NailDesk after that date, the new version applies to you. We may also ask you to tick the box again.

19.2 Earlier disputes. A change never applies to a dispute about anything that happened before the change, or that either of us already knew about.

19.3 Information we already hold. A change never lets us use your customers' information that we already hold in a significantly new way without first getting a fresh yes from you and, where the law asks for it, from your customers.

19.4 Changes the law requires. A change the law requires may take effect sooner, with as much notice as we can give. Section 17 never changes that way.

19.5 Prices change only as 5.7 and 5.8 say.

20. General

20.1 Notices. We send notices by email to the owner's email address on file, and you must send notices to bao@baolellc.com. A notice is given when it is sent, unless it bounces. You must keep your email address current. "Days" means calendar days unless a section says otherwise.

20.2 Transfers. You may not transfer this agreement without our written consent. We will not unreasonably refuse consent for a buyer of your whole salon location who accepts this agreement. We may transfer this agreement to an affiliate, or to any successor to the NailDesk business.

20.3 Entire agreement. This agreement and your order are the entire agreement between us about NailDesk. They replace anything said or written before. You are not relying on any statement, promise or demonstration that is not written in them.

20.4 Language. This agreement is written in English. If we provide a translation, the English version governs.

20.5 Severability. If any part of this agreement cannot be enforced, it is enforced as far as the law allows, and the rest remains in force.

20.6 No waiver. A failure or delay in enforcing any term is not a waiver of it.

20.7 Independent businesses. You and we are independent businesses. Nothing in this agreement makes us partners, agents, or employer and employee.

20.8 No third-party beneficiaries. This agreement is only for you and us, not your customers or staff, except that our owner, staff and contractors also benefit from sections 13, 14 and 15.

20.9 Publicity. We may name your salon, using its name and logo, as a NailDesk customer on our website and in sales material while this agreement is in effect.

20.10 Electronic records. You agree to receive this agreement, notices and records electronically. Ticking the box is your signature.
